Terms & Conditions

The terms you agree to by using Invovibe.

Version v1.0.1 · In force from 19 August 2026

These terms govern who may open an account, what a subscription includes, what each of us is responsible for, and the limits of our liability.

1. Definitions

"Invovibe", "we" and "us" mean Invovibe, the operator of this service, at Bank Colony, Khushalpur, Moradabad, Uttar Pradesh 244001, India, GSTIN 09AEQPT4298B1ZW.

"Service" means the Invovibe web application and everything reachable through an Invovibe account: invoicing, quotations, projects, expenses, employee records, bank reconciliation and the assembly of outward supply data for GSTR-1.

"You" and "Customer" mean the organisation that holds the account. Where a person accepts these terms on behalf of an organisation, that person confirms they are authorised to bind it, and "you" then means the organisation.

"Customer Data" means everything you or your users enter into or generate through the Service — invoices, customers, expenses, employee records, statements and the documents you attach to them.

"Subscription" means the plan you have bought, for the period you have paid for.

2. Account and eligibility

You may open an account if you are at least 18 years old and competent to contract under the Indian Contract Act 1872, or if you are acting for an organisation that is.

You are responsible for the credentials used to reach your account and for everything done through it. Tell us at support@invovibe.online as soon as you believe a credential has been compromised; until you do, activity through your account is treated as yours.

One person may hold several organisations, and an organisation may invite users and give them roles. What a role may do is set by you, not by us. Invitations, removals and role changes are yours to manage, and we act on what your account tells us.

You are responsible for the accuracy of the tax details you enter — your GSTIN, your customers' GSTINs, HSN and SAC codes, and place of supply. The Service computes from what you give it.

3. Subscription and billing

Plans, their limits and their prices are shown on the pricing page and are the ones in force at the time of purchase. A subscription runs for the period you have paid for and does not renew automatically unless you have set up a recurring payment.

Payment is taken through Razorpay Software Private Limited, our payment gateway. Your card or bank credentials are handled by the gateway and its banking partners, and are not stored by us.

Access is applied to your organisation as soon as the gateway confirms the payment. If confirmation does not arrive, the plan is not applied and the amount, if debited, is returned by the gateway under its own reversal process.

A plan's limits are enforced by the Service. Where a limit is reached, the action that would exceed it is refused rather than billed; you may buy add-on capacity against that limit or move to a higher plan.

Prices may change. A change applies to periods bought after it takes effect, never to a period you have already paid for.

4. Fees and taxes

All prices are stated exclusive of Goods and Services Tax. GST is charged in addition at the rate applicable to the supply on the date of invoice.

We issue a tax invoice for every payment under Section 31 of the Central Goods and Services Tax Act 2017, showing our GSTIN, the place of supply and the tax charged. Where you have given us a valid GSTIN, it is recorded on the invoice so that you may claim input tax credit if you are otherwise entitled to it.

Where tax is deducted at source on a payment to us, you must furnish the certificate under Section 203 of the Income-tax Act 1961 within the time allowed by law; until it is furnished, the deducted amount remains payable.

Bank charges, currency conversion and any levy imposed on the payment by an intermediary are yours.

5. Acceptable use

Use the Service for your own business records. Do not use it to store or transmit anything unlawful, to impersonate another person or organisation, or to raise documents that misstate a supply that did not happen.

Do not attempt to access another organisation's data, probe or bypass the Service's controls, reverse-engineer it, or use automated means to extract data at a rate that degrades it for others.

Do not resell, sublicense or make the Service available to a third party as a service of your own without our written agreement.

We may suspend an account that is being used in breach of this clause, or where required by law or by an order of a competent authority. Where we suspend, we will tell you why and what would lift it, unless the law forbids us to.

6. Customer data and ownership

Customer Data is yours. We claim no ownership of it and we do not sell it.

You grant us the limited right to host, process, transmit and display Customer Data for the purpose of operating the Service for you, and for the purposes set out in the privacy policy — nothing wider.

You may export your data at any time from within the Service: reports as Excel or PDF, invoices as PDF, and outward supply data as the GST portal's JSON. No request to us is needed.

The Service assembles GSTR-1 data from the documents you have raised and writes the portal's file. It does not file returns and does not sign in to the GST portal on your behalf. Filing, and the correctness of what is filed, remain yours.

We own the Service itself — the software, the design and everything we build into it. Nothing in these terms transfers that to you.

7. Confidentiality

Each of us may learn things about the other that are not public. Each will use them only for the purpose of this agreement and protect them with at least the care it applies to its own confidential information.

This does not apply to information that is already public without breach, that the receiving party already held, or that it develops independently.

Where disclosure is required by law or by an order of a court or authority, the disclosing party may make it, and will tell the other party unless it is forbidden from doing so.

8. Availability

We aim to keep the Service available and to keep planned interruptions short and outside business hours where we can.

We do not commit to a specific level of uptime and we offer no service credits. The Service depends on infrastructure and networks we do not control, and we would rather say so than publish a number we cannot stand behind.

We may change or withdraw features. Where a change materially reduces what a paid plan does, you may cancel and ask for a refund of the unused part of the period under the refund and cancellation policy.

9. Third-party services

The Service relies on third parties: Razorpay for payments, and Google Cloud and Firebase for hosting and storage. Their acts are governed by their own terms with us, and their failures can affect the Service.

Files you import — bank statements as CSV or Excel — are processed as you supply them. What the file contains, and whether you were entitled to it, are yours.

Where the Service produces a file for another system, such as the GST portal's JSON, the acceptance of that file by that system is outside our control.

10. Limitation of liability

Nothing in these terms excludes liability that cannot be excluded by law, including liability for fraud or for death or personal injury caused by negligence.

Subject to that, our total liability arising out of or in connection with this agreement is limited to the fees you paid us for the Service in the twelve months before the event giving rise to the claim.

Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings.

We are not liable for a penalty, interest or demand raised on you by a tax authority where it arises from data you entered, a return you filed, or a filing deadline you missed. The Service prepares data; it does not file, and it does not advise.

11. Indemnity

You will indemnify us against claims brought by a third party arising from your Customer Data or from your use of the Service in breach of these terms — including a claim that your data infringes a right of theirs.

We will indemnify you against a claim that the Service itself, used as these terms allow, infringes an intellectual property right in India.

The party seeking indemnity must tell the other promptly, let it conduct the defence, and not settle without its agreement.

12. Termination

You may cancel at any time from within the Service or by writing to support@invovibe.online. Cancellation stops the next payment; access continues to the end of the period you have paid for. What is refundable is set out in the refund and cancellation policy.

We may terminate for material breach that is not remedied within 30 days of our written notice, or immediately where the breach cannot be remedied or where the law requires it.

For 90 days after an account closes, your data remains available for export on request to support@invovibe.online. After that we delete or anonymise it, except for the records we are required to keep — see the privacy policy, which explains what tax law requires of us and for how long.

Clauses that by their nature should survive termination — confidentiality, limitation of liability, indemnity, governing law — do so.

13. Governing law and disputes

This agreement is governed by the laws of India.

Talk to us first: write to support@invovibe.online with what has gone wrong. We will acknowledge within 48 hours and try to resolve it within 30 days, which is also what the Consumer Protection (E-Commerce) Rules 2020 require of us.

If that does not settle it, the dispute is referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act 1996. The seat and venue are Moradabad, Uttar Pradesh, and the language is English.

Subject to the above, the courts at Moradabad, Uttar Pradesh have exclusive jurisdiction.

14. Changes to these terms

We may change these terms. The version and the date it took effect are shown at the top of this page, and the previous version is available on request from support@invovibe.online.

Where a change materially affects your rights or obligations, we will tell account owners by notice in the Service at least 15 days before it takes effect. Continuing to use the Service after that date is acceptance; if you do not accept, cancel before it and the refund policy applies to the unused part of your period.
